5. Limitation of Liability

To the fullest extent permitted by applicable law, ARCLLC Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

Your use or inability to use our Services;
Any unauthorized access to or use of our servers and/or any personal information stored therein;
Any interruption or cessation of transmission to or from our Services;
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services;
Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our Services.

6. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms and Conditions.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts in the United States.

9. Subscriptions & Auto-Renewal

ARCLLC Technologies offers optional paid plans (Premium and Special) in addition to a free tier. By starting a paid plan, you expressly authorize us to charge the payment method you provide (Payment Method) the then-current subscription price on a recurring monthly basis until you cancel. Your subscription renews automatically each month on your billing date unless cancelled beforehand.

Important: Paid features are non-refundable. You may cancel anytime from within your portal; access continues until the end of the current billing period.

10. Free Tier; Premium & Special Features

The free tier provides access to core Services at no cost. Paid tiers unlock additional features, higher limits, and/or advanced capabilities. Usage may be subject to reasonable fair-use limits and technical safeguards to protect service integrity.

Feature availability and quotas are described in your portal plan details.
Quotas generally reset on each monthly billing cycle; unused quotas do not carry over.
We may prevent over-quota usage or temporarily throttle abusive or anomalous traffic to maintain platform stability.

11. Billing & Payment Processing

We use a third-party payment processor (e.g., Stripe) to securely process payments. We do not store full card details on our servers. Your use of payment services may be subject to the processors terms and card-network rules.

By subscribing, you consent to recurring charges to your Payment Method until cancellation.
You are responsible for keeping your Payment Method and billing information accurate and up to date.
If a payment is not successfully settled, we may retry the charge and/or suspend paid features until payment is resolved.

12. Pricing, Taxes & Currency

Prices are shown in the currency indicated in your portal and are exclusive of applicable taxes unless stated otherwise.
You are responsible for all applicable taxes, duties, and government charges.
If your tax/VAT details are required, you agree to provide accurate information.

13. Invoices, Receipts & Notices

Invoices/receipts are issued electronically and available via your portal and/or email.
We may provide important billing notices in-app and by email (e.g., upcoming renewals, payment issues, price changes).
You consent to receive electronic communications for billing and account-related matters.

14. Cancellations, Upgrades & Downgrades

Cancel Anytime: You can cancel your subscription directly in your portals Billing section. Cancellation stops future renewals; your paid features remain active until the current period ends.
Upgrades: If you upgrade mid-cycle, new limits/features may take effect immediately and you authorize any prorated or immediate charges as shown at checkout.
Downgrades: Plan downgrades take effect at the next renewal to avoid loss of already-paid benefits mid-cycle.

15. Refund Policy

All subscription charges are non-refundable and non-creditable once a billing period starts, including partial periods, unused quotas, or time remaining after cancellation. This does not affect any non-waivable statutory rights that may apply in your jurisdiction.

16. Failed Payments; Suspension

If a payment fails, we may attempt retries and notify you to update your Payment Method.
We may suspend paid features (and/or the account) for unresolved balances; free-tier access may remain available at our discretion.
We may use lawful collection efforts for overdue amounts, which may include additional fees permitted by law.

17. Chargebacks & Disputes

Please contact us first to resolve any billing concerns quickly.
Initiating a chargeback may result in immediate suspension of your account and investigation of unauthorized use.
If a chargeback is resolved in our favor, you authorize us to re-charge your Payment Method and any permitted chargeback fees.

18. Changes to Plans or Pricing

We may modify plan features or pricing from time to time. For active subscriptions, material changes or price increases will be communicated in advance via the portal and/or email and will take effect on your next renewal unless you cancel before that date.

19. Trials, Coupons & Credits

Any free trial or promotional offer will specify its terms in your portal. Unless cancelled before the end of a trial, your plan may convert to a paid subscription on the stated billing date.
Coupons, credits, or promotional balances are non-transferable, non-refundable, and may expire as stated.

20. Payment Method Management & Security

You can update or change your Payment Method in the portals Billing section.
We implement industry-standard security controls and rely on PCI-compliant processors to handle card data.
Do not share billing credentials; you are responsible for all activity under your account.

21. Cancellation Outcome & Access After Period End

When you cancel, your paid plan remains active until the end of the paid period. After the period ends, paid features are removed unless you re-subscribe. Your account may continue on the free tier (if available) subject to its limits and these Terms.
